BACKGROUND:
Distillery Labs is one of 15 Illinois Innovation Network Hubs. Their goal is to building partnerships and collaborations with public agencies, private companies, universities and community organizations that will identify and develop foundational smart city infrastructure within public rights-of-way to host experimentation of processes, products, platforms and physical environments that will help solve problems facing cities. This "Living Laboratory" would give technology start-up companies the opportunity to test products and solutions that will eventually be brought to market.

The City and Distillery Labs have developed an Agreement that will serve as a blanket permit for projects sponsored by Distillery Lab or a start-up working in conjunction with Distillery Lab. The Agreement authorizes Distillery Labs or the start-up to install smart city technology in a specifically identified area, which may include items such as: cellular communication network hardware, smart street light control nodes, shared use or multi-modal mobility hubs, wi-fi hotspots, electric vehicle charging stations, digital kiosks, cameras and environmental sensors in City right-of-way.

The attached Smart city Brokerage Agreement specifically includes the following:
* Distillery Labs will be the intermediary between the City and the start-up's and will provide a written proposal on behalf of the company, identify the needs and a plan to avoid interruption with City communications systems.
* The City will review and respond to all proposals within 90 days.
* The agreement has a 3-year term but can be terminated with 90 days' notice.
